<\/p>\n
1.1 These General Terms and Conditions apply to all sales of products and services by NF Trading S.r.l. (the \u201cSupplier\u201d), unless otherwise agreed in writing.<\/p>\n
1.2 The Buyer\u2019s purchase order constitutes full acceptance of these conditions. Any conflicting conditions proposed by the Buyer are ineffective unless expressly accepted in writing by the Supplier.<\/p>\n
1.3 Quotations remain valid for the period stated therein and do not constitute a binding commitment until the Supplier issues an order confirmation.<\/p>\n
<\/p>\n
2.1 Orders become binding only upon written confirmation by the Supplier.<\/p>\n
2.2 Delivery dates are estimates unless expressly agreed as binding in writing. A delay does not entitle the Buyer to cancel the order or claim compensation.<\/p>\n
2.3 The Buyer must inspect the goods upon receipt and report visible defects or discrepancies in writing within 8 days. Hidden defects must be reported within 8 days of discovery and within the applicable warranty period.<\/p>\n
2.4 Failure to provide timely notice constitutes acceptance of the goods.<\/p>\n
<\/p>\n
3.1 Unless otherwise agreed, goods are transported at the Buyer\u2019s risk, including when freight is prepaid or arranged by the Supplier.<\/p>\n
3.2 Risk transfers to the Buyer when the goods are handed to the first carrier.<\/p>\n
3.3 The Buyer is responsible for verifying packaging integrity and making any reservations directly to the carrier.<\/p>\n
<\/p>\n
4.1 The Supplier warrants that the products conform to the agreed specifications. The warranty does not cover normal wear, improper use, unsuitable storage, unauthorised modifications or repairs by third parties.<\/p>\n
4.2 Where a defect is recognised, the Supplier may choose to repair or replace the product. Liability shall not exceed the value of the defective goods.<\/p>\n
4.3 Any other compensation is excluded, including indirect damage, production downtime or loss of profit.<\/p>\n
4.4 A claim does not entitle the Buyer to suspend or delay payment.<\/p>\n
4.5 The Buyer shall ensure that its insurers waive any right of recourse against the Supplier.<\/p>\n
<\/p>\n
5.1 Prices are net of VAT unless otherwise stated.<\/p>\n
5.2 Payments must be made within the terms stated in the order confirmation.<\/p>\n
5.3 Late payments shall accrue interest at three-month EURIBOR plus 3 percentage points and a penalty equal to 10% of the total invoice amount, without prior notice.<\/p>\n
5.4 If an order is cancelled, the Buyer shall pay a penalty equal to 30% of the total value, without prejudice to compensation for any greater loss.<\/p>\n
<\/p>\n
6.1 Goods remain the property of the Supplier until the price has been paid in full.<\/p>\n
6.2 If processed with other materials, the Supplier shall acquire co-ownership of the resulting product.<\/p>\n
6.3 Before full payment, the Buyer may not dispose of the goods and must protect them from seizure or third-party claims.<\/p>\n
<\/p>\n
7.1 The Supplier may terminate the contract if performance is suspended for more than 30 days without agreement on how to proceed.<\/p>\n
7.2 The Supplier may terminate upon notice if the Buyer fails to fulfil its obligations within 15 days after formal demand.<\/p>\n
7.3 In serious circumstances, including insolvency, the contract may be terminated without notice.<\/p>\n
7.4 Upon termination, payments already made remain with the Supplier and the Buyer must pay the outstanding balance.<\/p>\n
<\/p>\n
8.1 The Supplier is not liable for delays caused by events beyond its reasonable control.<\/p>\n
8.2 Such events include natural disasters, strikes, war, material shortages, production interruptions and government measures.<\/p>\n
8.3 If the event continues for more than 30 days, either party may terminate the contract without further liability.<\/p>\n
<\/p>\n
9.1 All technical documents supplied remain the Supplier\u2019s exclusive property and must be treated as confidential.<\/p>\n
9.2 The Buyer shall not disclose or use this information for purposes other than those agreed.<\/p>\n
9.3 Upon termination of the contract, such documentation must be returned to the Supplier.<\/p>\n
<\/p>\n
If any provision of these conditions is held invalid, the remaining provisions shall remain fully effective.<\/p>\n
<\/p>\n
11.1 The Buyer warrants compliance with all applicable international sanctions and foreign-trade regulations.<\/p>\n
11.2 Diversion from the intended destination is prohibited without the Supplier\u2019s written consent.<\/p>\n
11.3 The Supplier may terminate the contract without notice if these obligations are breached.<\/p>\n
11.4 The Buyer shall pass these obligations on to any subsequent purchaser.<\/p>\n
<\/p>\n
12.1 These conditions are governed by Italian law.<\/p>\n
12.2 The Court of Milan shall have exclusive jurisdiction over any dispute, unless otherwise agreed in writing.<\/p>\n
